These Terms govern the use of this Application in a legally binding way. Capitalized words are defined in the relevant dedicated section of this document.

TERMS OF USE

Unless otherwise specified, the terms of use detailed in this section apply generally when using this Application.

Single or additional conditions of use or access may apply in specific scenarios and in such cases are additionally indicated within this document.

By using this Application, Users confirm to meet the following requirements:

  • Users aren’t located in a country that is subject to a EU or U.S. Government embargo, or that has been designated by the EU or U.S. Government as a “terrorist-supporting” country;
  • Users aren’t listed on any EU or U.S. Government list of prohibited or restricted parties;

Intellectual Property and Content on this Application

Without prejudice to any more specific provision of these Terms, any intellectual property rights, such as copyrights, trademark rights, patent rights and design rights related to this Application are the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties relating to intellectual property.

All trademarks — nominal or figurative — and all other marks, trade names, service marks, word marks, illustrations, images, or logos appearing in connection with this Application are, and remain, the exclusive property of the Owner or its licensors and are subject to the protection granted by applicable laws or international treaties related to intellectual property.

Users may not therefore use any content in this Application in any way that is not necessary or implicit in the proper use of the Service.

In particular, but without limitation, Users may not copy, download, share (beyond the limits set forth below), modify, translate, transform, publish, transmit, sell, sublicense, edit, transfer/assign to third parties or create derivative works from the content available on this Application, nor allow any third party to do so through the User or their device, even without the User's knowledge.

Where explicitly stated on this Application, the User may download, copy and/or share some content available through this Application for its sole personal and non-commercial use and provided that the copyright attributions and all the other attributions requested by the Owner are correctly implemented.

Content submitted by Users

Users may only post content to the Application and submit suggestions, ideas, comments, questions, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of intellectual property, a credit card or other content. If you do post content or submit material, including any content, and unless we indicate otherwise, you grant the Owner and its associates a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify the Owner and its associates for all claims resulting from content you supply.

Access to external resources

Through this Application Users may have access to external resources provided by third parties. Users acknowledge and accept that the Owner has no control over such resources and is therefore not responsible for their content and availability.

Conditions applicable to any resources provided by third parties, including those applicable to any possible grant of rights in content, result from each such third parties’ terms and conditions or, in the absence of those, applicable statutory law.

Acceptable use

This Application and the Service may only be used within the scope of what they are provided for, under these Terms and applicable law.

Users are solely responsible for making sure that their use of this Application and/or the Service violates no applicable law, regulations or third-party rights. Therefore, the Owner reserves the right to take any appropriate measure to protect its legitimate interests including by denying Users access to this Application or the Service, terminating contracts, reporting any misconduct performed through this Application or the Service to the competent authorities – such as judicial or administrative authorities - whenever Users engage or are suspected to engage in any of the following activities:

  • violate laws, regulations and/or these Terms;
  • infringe any third-party rights;
  • considerably impair the Owner’s legitimate interests.

Liability and indemnification

Limitation of Liability

This Application is provided on an "as is" and "as available" basis. Use of the Service is at Users’ own risk. The Application and the content therein is provided without any guarantees, conditions or warranties as to any particular functionality or accuracy. To the maximum extent permitted by applicable law, in no event shall the Owner, its subsidiaries, affiliates, officers, directors, agents, co-branders, partners, suppliers or employees be liable for any direct, indirect or consequential loss or damage incurred by any user in connection with the Application or in connection with the use, inability to use, or results of the use of the Application, any websites linked to or from it and any materials posted on it, including but not limited to, any liability for:

  • loss of income or revenue;
  • loss of business;
  • loss of profits or contracts;
  • loss of anticipated savings;
  • loss of data;
  • loss of goodwill;
  • wasted time; and
  • for any other loss or damage of any kind, howsoever arising.

This limitation of liability section shall apply to the fullest extent permitted by law in the applicable jurisdiction whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if company has been advised of the possibility of such damage.

Indemnification

The User agrees to indemnify and hold the Owner and its subsidiaries, affiliates, officers, directors, agents, co-branders, partners and employees harmless from and against any claim or demand ⁠— including but not limited to lawyer's fees and costs ⁠— made by any third party due to or in relation with any culpable use of or connection to the Service, violation of these Terms, infringement of any third-party rights or statutory provision by the User to the extent allowed by applicable law.

Common provisions

No Waiver

The Owner’s failure to assert any right or provision under these Terms shall not constitute a waiver of any such right or provision.

Personal Data

This Application processes Personal Data. The purpose of and Terms for such processing are specified in the Privacy Policy.

Changes to these Terms

The Owner reserves the right to amend or otherwise modify these Terms at any time. Any such updates Terms will be available on the Owner’s website. The continued use of the Service will signify the User’s acceptance of the revised Terms. If Users do not wish to be bound by the changes, they must stop using the Service.

Assignment of contract

The Owner reserves the right to transfer, assign, dispose of by novation, or subcontract any or all rights or obligations under these Terms, taking the User’s legitimate interests into account. Provisions regarding changes of these Terms will apply accordingly. Users may not assign or transfer their rights or obligations under these Terms in any way, without the written permission of the Owner.

Severability

Authoritative version of these Terms

These Terms are drawn up and revised in English. Other language versions of these Terms are provided for information purposes only. In the event of any inconsistency between different linguistic versions, the original version shall always prevail.

Governing law

These Terms are governed by the law of the place where the Owner is based, as disclosed in the relevant section of this document, without regard to conflict of laws principles.

Venue of jurisdiction

The exclusive competence to decide on any controversy resulting from or connected to these Terms lies with the courts of the place where the Owner is based, as displayed in the relevant section of this document.

The property that enables the provision of the Service.

Owner (or We)

Indicates the natural person(s) or legal entity that provides this Application and/or the Service to Users.

Service

The service provided by this Application as described in these Terms and on this Application.

All provisions applicable to the use of this Application and/or the Service as described in this document, including any other related documents or agreements, and as updated from time to time.

User (or You)

Indicates any natural person or legal entity using this Application.

This Service or Application (“Service”) collects some Personal Data from its Users. By signing up for and/or using the Service you give your consent that the Company may use your personal data and other contributions for the purposes and under the terms described within this Privacy Policy.

The purposes of processing

The Data concerning the User is collected to allow the Company to provide its Service, comply with its legal obligations, respond to enforcement requests, protect its rights and interests (or those of its Users or third parties), detect any malicious or fraudulent activity, as well as for general analytics purposes in order to improve its Service. The Company uses Google Analytics to monitor and analyze web traffic and to track User behavior on the Service in order to improve the Service over time. Google Analytics is a web analysis service provided by Google Ireland Limited (“Google”). Google utilizes the Data collected to track and examine the use of this Service, to prepare reports on its activities and share them with other Google services. Google may use the Data collected to contextualize and personalize the ads of its own advertising network.

The core purposes of the Company’s Service is to 1) match people in to employments, 2) educate people in language learning, and/or 3) education people in other skills which may be of use for finding employments or improving work related skills. As such the Company may receive Personal Data from employers or other third parties for these purposes, or may share Personal Data to employers or other third parties for these purposes. Examples of relevant third parties may include, but are not limited to; trade unions, educational providers, public employment authorities or job matchmaking services. By using this Service and providing your Personal Data with the Company, you explicitly approve that Company may freely share your Personal Data with any relevant third parties with legitimate interests for fulfilling the core purpose of the Service.

It should be specifically noted that in some cases the Company may act as Data Controller and in some cases it may act as Data Processor on behalf of a third party. The Company may have different rights and responsibilities as regards the management of your personal data depending on whether it has the role of Data Controller or Data Processor and depending on any specific Data Processing Agreements it may have in place with third parties. If you want to know which role the Company has as regards to your personal data you are welcome to contact the Company.

Types of Data collected

This Service collects, by itself or through third parties, the Personal Data that you or one of our partners may have provided to us (such as but not limited to name, phone number, email etc) as well as Cookies and general Usage Data.

Personal Data may also be provided by third parties such as the employer of User in the case that they are a client of the Company and have the right to share such information with us.

In cases where this Service specifically states that some Data is not mandatory, Users are free not to communicate this Data without consequences to the availability or the functioning of the Service.

Any use of Cookies – or of other tracking tools – by this Service or by the owners of third-party services used by this Service serves the purpose of providing the Service required by the User, in addition to any other purposes described in the present document and in the Cookie Policy.

Users are responsible for any third-party Personal Data obtained, published or shared through this Service and confirm that they have the third party's consent to provide the Data to the Company.

Mode and place of processing the Data

Methods of processing

The Company takes appropriate security measures to prevent unauthorized access, disclosure, modification, or unauthorized destruction of the Data.

The Data processing is carried out using computers and/or IT enabled tools, following organizational procedures and modes strictly related to the purposes indicated. In addition to the Company, in some cases, the Data may be accessible to persons in charge or involved with the operation of this Service or external parties (such as but not limited to third-party technical service providers, mail carriers, hosting providers, IT companies, communications agencies) appointed, if necessary, as Data Processors or sub-processors by the Company. The updated list of any Data Processors or sub-processors used by the Company may be requested from the Company.

Place

The Data is processed at the Company's operating offices and in any other places where the parties involved in the processing are located.

Depending on the User's location, data transfers may involve transferring the User's Data to a country other than their own. To find out more about the place of processing of such transferred Data, Users can inquire with the Company using the information provided in the contact section.

Retention time

Personal Data shall be processed and stored for as long as required by the purpose they have been collected for.

Therefore:

  • Personal Data collected for purposes related to the performance of a contract between the Company and the User shall be retained until such contract has been fully performed.
  • Personal Data collected for the purposes of the Company’s legitimate interests shall be retained as long as needed to fulfill such purposes. Users may find specific information regarding the legitimate interests pursued by the Company within the relevant sections of this document or by contacting the Company.

The Company may be allowed to retain Personal Data for a longer period whenever the User has given consent to such processing, as long as such consent is not withdrawn. Furthermore, the Company may be obliged to retain Personal Data for a longer period whenever required to do so for the performance of a legal obligation or upon order of an authority.

Once the retention period expires, Personal Data will be deleted. Therefore, the right to access, the right to erasure, the right to rectification and the right to data portability cannot be enforced after expiration of the retention period.

The rights of Users

Users may exercise certain rights regarding their Data processed by the Company.

In particular, Users have the right to do the following:

  • Access their Data. Users have the right to learn if Data is being processed by the Company, obtain disclosure regarding certain aspects of the processing and obtain a copy of the Data undergoing processing.

As part of our aim in offering a high quality service, we have found it helpful to record some of our lectures. This material is used for two purposes: 1) for sharing with the participants of the lecture for educational purposes, and 2) for internal review at Lingio in order to improve our services.

For these purposes we may record the lecture or parts of it, make editorial modifications to the video and distribute to the participants of the lecture. In such videos the names, images and voices of each participant may be captured.

By approving this consent form you hereby irrevocably agree to the following:

  1. To grant permission to record your name, image and/or voice, both in still and moving picture.
  2. To grant permission to distribute your name, image and/or voice recording in any medium.
  3. To grant permission to modify, edit, use and / or reproduce the images and/or recordings for educational purposes, including any quotes, questions or answers you may give during the recording.
  4. That there is no right for reimbursement or compensation for you
